Terms of Service: Project Leadership Studio

Provider: Yazdani Consulting and Facilitation, LLC (“Company”, “we”, “us”)

By accessing or using the Project Leadership Studio (the “Studio”) and the services offered via the Heartbeat platform (collectively, the “Services”), you agree to be bound by these Terms of Service. Please read them fully and carefully. If you do not agree to these terms, you may not access or use the Services.

I. Description of Services & Scope of Access

The Project Leadership Studio is an asynchronous leadership space. Access is tiered based on your enrollment:

  • Guest Access: Provides limited, read-only access to select Project Leadership Resources (videos and templates). Guests do not have access to Expert Support threads or Private Strategic Partner Access.

  • Strategic Access & Expert Support: A shared community space for troubleshooting and peer perspective.

  • Private Strategic Partner Access: A confidential 1:1 space for individualized strategy. Access is intended for ongoing, asynchronous advisory. Unless otherwise agreed in writing, this includes a reasonable monthly volume of strategic inquiries and document reviews. For intensive projects requiring deep-dive consulting or live sessions, the Company may require a separate Statement of Work at its standard consulting rates.

II. Guest Access Terms

If you are accessing the Studio as a Guest:

  • No Cost: Your access is provided free of charge and does not require billing information.

  • Limited License: You are bound by all terms regarding Intellectual Property (Section IV), Privacy (Section V), and Code of Conduct (Section VIII).

  • Termination: The Company reserves the right to terminate Guest Access at any time, for any reason, without notice.

III. Payments, Billing, and Auto-Renewal (Paid Subscribers Only)

  • Billing: We use Heartbeat and its integrated processors to bill you. By choosing a paid subscription, you authorize the Company to submit periodic charges (monthly, quarterly, or annually) without further authorization until you terminate.

  • Auto-Renewal: Paid subscriptions automatically extend for successive renewal periods. You may cancel or pause via Heartbeat at any time; however, no prorated refunds are provided for mid-cycle cancellations.

IV. Intellectual Property & User Content

  • Company Property: The Company retains all rights, titles, and interests in the Clarity to Action Framework and all Studio materials, including but not limited to: videos, templates, written posts, comments, and expert advice provided by the Company within the platform. These are for your internal use only and may not be copied, resold, or redistributed.

  • User Content License: You remain the owner of the work products, data, or posts you create. However, by posting in the Studio—including within both shared community threads and private strategic threads—you grant the Company a non-exclusive license to use that content to provide the Services.

  • Derivative Works: The Company may develop new resources, templates, or blog content based on common themes, questions, or challenges raised within the community. The Company shall own all rights to such generalized resources. If the Company wishes to use your specific identifying information or proprietary data within a derivative work for public use, we will request your explicit permission beforehand.

V. Privacy & Data Security

  • Safeguarding Information: We take appropriate security measures (including physical, electronic, and procedural measures) to help safeguard your personal information from unauthorized access and disclosure. For example, only authorized employees and business partners (with which we partner to offer you products, services, promotions, programs, contests and/or sweepstakes) are permitted to access personal information, and they may do so only for permitted business functions.

  • No Guarantee of Security: Although we take steps to secure your information, no system can be completely secure. We do not promise, and you should not expect, that your personal information, searches, or other communications will always remain secure.

VI. Confidentiality vs. Privilege

  • Confidentiality: "Strategic Access" threads are shared community spaces. Do not post proprietary data there. Confidentiality is maintained within “Private Strategic Partner Access” (1:1) spaces as a professional standard.

  • No Professional Privilege: Information shared in the Studio, including in Private Strategic Partner Access, is kept confidential as a professional standard but does not create a legally privileged relationship (such as attorney-client privilege).

VII. Service Delivery

  • Asynchronous Nature: Support is provided asynchronously with no guarantee of immediate responses or specific response time-frames.

  • Out-of-Office: Response windows will be extended during holidays or professional leave, which will generally be posted in the community in advance.

VIII. Code of Conduct

As a condition of use, you agree to comply with the Project Leadership Studio Code of Conduct. Harassment or disruptive behavior will result in immediate removal without refund.

IX. Warranty Disclaimer

The Services and Content are provided “as is” and “as available” without warranty of any kind, express or implied, including, but not limited to, the implied warranties of title, non-infringement, merchantability and fitness for a particular purpose. We do not warrant that: (i) the Services will be secure or available at any particular time; (ii) any defects or errors will be corrected; or (iii) the results of using the Services will meet your requirements. Your use of the Services is at your own risk.

X. Limitation of Liability

  • Support, Not Advice: Services are for coaching and guidance; they are not a substitute for legal, financial, or mental health professional advice.

  • No Guarantees: While the Company provides tools to build clarity, the ultimate success of your projects and leadership remains your responsibility.

  • Liability Cap: To the maximum extent permitted by law, the Company’s total liability is limited to the amount you paid for your subscription during the 12 months preceding the claim (or $0 for Guests).

XI. Indemnification

You shall defend, indemnify, and hold harmless the Company and its affiliates from all liabilities and expenses (including reasonable attorneys’ fees) that arise from your use or misuse of the Services, your User Content, or your violation of these Terms.

XII. Force Majeure & Modifications

  • Force Majeure: The Company is not liable for failures resulting from causes beyond its reasonable control (e.g., acts of God, telecommunication failures, pandemics).

  • Modification: The Company may modify these Terms at any time by posting notice in the Studio. Your continued use of the Services following the posting of changes constitutes acceptance of those changes.

XIII. Termination by Company

  • Termination for Fit or Convenience: To maintain a "calm and steady" environment, the Company reserves the right to terminate any user's access (Paid or Guest) at any time, for any reason. If the Company terminates a paid subscription for convenience (and not for a breach of these Terms), the user will receive a prorated refund for the remainder of their current billing cycle.

  • Discontinuation of Services: The Company reserves the right to modify, suspend, or discontinue the Studio or any specific Service tier at any time. In the event of a permanent discontinuation of paid Services, the Company will provide reasonable notice and a refund for any prepaid, unused portion of your subscription.

XIII. Entirety of Agreement & Governing Law

These Terms constitute the entire agreement between you and the Company regarding the Project Leadership Studio. These Terms shall be governed by the laws of the State of Colorado. Jurisdiction for any disputes is proper only in the courts of Colorado.
